Note: For the safety of our employees and those considering employment with Cotiviti, we are currently conducting all interviews virtually. In addition, the majority of the Cotiviti team is currently working remotely, and we are onboarding new hires remotely as well. As we monitor the pandemic, these arrangements may change and we will update accordingly.

Cotiviti is seeking three (3) talented, energetic, innovative, and self-motivated Associate Attorneys to work on a short term project that we expect will last about 4 months. These positions will be primarily responsible and accountable for reviewing contracts to ensure all contract data is accurate and current, supporting our offshore contract review and data extraction team, providing timely reports as directed, and representing the legal team on cross-functional projects related to contract data management and contracting workflow technology.

Responsibilities:

  • Review contracts as directed by Senior Corporate Counsel.
  • Provide interpretation on complex and conflicting provisions in contracts that include multiple amendments, addenda, exhibits, and schedules.
  • Advise team members on resolving complicated contract interpretation issues and abstracting summaries of key information.
  • Advise business partners on proper understanding and interpretation of complex contract structures.
  • Quickly learn and be able to train team members on Cotiviti’s business structure, client base, and product offering as they relate to Cotiviti’s contracting operations.
  • Provide support to offshore contract review and data extraction team by providing instructions, answering questions, and conducting quality assessment oversight.
  • Collaborate with teams across the company on projects related to contract data and the contracting workflow, representing the legal team and championing the legal team’s interests.
  • Ensure the legal team is able to provide timely, reliable contract data to the company on demand by ensuring the team’s databases contain complete and accurate information.
  • Produce reports as requested from web-based applications QuickBase and Microsoft Dynamics using Microsoft Excel.
  • Assist Senior Corporate Counsel on commercial legal matters, like third party discovery matters; other legal operations projects, such as procurement and implementation of new legal technology tools; as well as special legal projects, like due diligence efforts.
  • Interpret corporate documentation to understand and advise internally on Cotiviti’s corporate structure and transaction history.
  • Communicate and work with outside counsel as directed.
  • Must be comfortable asking for help and seeking support as needed.
  • Must be able to carry out responsibilities independently with little oversight following initial direction.
  • Complete all responsibilities as outlined on annual Performance Plan.
  • Complete all special projects and other duties as assigned.
  • Must be able to perform duties with or without reasonable accommodation.

Requirements:

  • J.D. and currently licensed to practice in at least one U.S. jurisdiction.
  • 1-3 years’ experience reviewing and interpreting commercial contracts.
  • Intermediate Microsoft Excel skills a strong plus, including ability to create pivot tables, sort and filter, and perform basic functions—at minimum, must have ability and interest to learn required skills.
  • Strong Microsoft PowerPoint skills a plus; specifically, the ability to organize and present complex, detailed information in an accessible way.
  • Comfortable learning, using, and becoming proficient in new technologies—and championing adoption of new technologies to others.
  • Ability to multi-task with a sense of urgency and ability to meet deadline within a changing, fast-paced environment;
  • Strategic thinker with a solution orientation.
  • Team player with strong interpersonal skills.
  • Proven history of developing cross-functional relationships with all levels of an organization and functional expertise.
